These Terms and Conditions govern all services provided by AFW Digital ("Service Provider") to the client ("Client"), including but not limited to:
- Website design & development
- Mobile application development
- Custom software solutions
- Hosting & maintenance services
2. Proposal & Acceptance
- Projects begin with a signed proposal/quote.
- The Client has 15 days to accept the proposal. After this period, pricing may be revised.
3. Payment Terms
Project Completion Criteria
A website or mobile application is deemed complete when:
- The design, core functionalities, and requested pages are fully developed.
- Both the IT team and the Client have formally approved the deliverables.
Payment Structure
For projects ≤ €3,000:
- 50% deposit (before work begins).
- 50% upon completion (after design + core functionality approval).
For projects > €3,000:
- Custom payment schedule (defined in the proposal).
Content Provision & Revisions
Content (text, images, etc.) may be:
- Supplied by the Client (max 2 free revisions).
- Created by our team (additional fees apply).
- Changes beyond 2 revisions are billed as maintenance.
Client Delays
If the Client fails to provide content/feedback for >15 days:
- The project may be paused (storage fees: €50/month).
- Completion with placeholders (final invoice issued).
4. Late Payment Penalties
Overdue Invoices
- Late fee: 10% of outstanding amount (min. €500).
- Interest: 1.5% per month (or legal maximum).
Service Suspension
Access to the website/app may be disabled until full payment.
Contract Termination
- After 30 days of non-payment, the contract may be terminated.
- The Client remains liable for 100% of completed work.
5. Intellectual Property Rights
- The Service Provider retains full ownership of all code and materials until full payment is received.
- Source code is delivered only after final payment.
6. Responsibilities
- The Service Provider commits to meeting deadlines unless delayed by force majeure or Client-side delays (e.g., late feedback).
- The Client is responsible for all provided content (texts, images) and guarantees legal ownership.
7. Dispute Resolution
- Parties agree to resolve disputes amicably before legal action.
- Any unresolved disputes fall under the jurisdiction of France courts.
8. Agreement Acceptance
By signing the proposal, the Client fully accepts these Terms & Conditions.
